1. What is Contractor Pro?
Introducing Contractor Pro's innovative shared risk contracts! With this new agreement, Ontop partners with you to share the risk and financial liability associated with independent contractors. This collaboration enhances your contractor management experience without changing the scope of their services or your existing processes with us. Experience peace of mind and greater security with Contractor Pro!
2. Will the upgrade affect my pricing?
Not at all! You’ll enjoy all the benefits of this upgrade without any additional costs. This is our way of showing our appreciation for you as a valued client.
3. What benefits does Contractor Pro provide?
- Shared Risk Contracts: We will share risk and financial liability by becoming a part of the agreement between you and the independent contractor.
- Liability Coverage: Our agreement includes liability caps, providing you with added protection and limiting your financial exposure for certain claims related to the services provided.
- Continued Financial Services: Contractors will retain benefits like the Ontop Wallet in USD, VISA Card, worldwide transfers, crypto payments, and more when available in their countries.
In addition to the Ontop platform features you're already familiar with, you'll now be able to enjoy:
- Simplified Payments: Enjoy the convenience of anytime payroll with Ontop! Prepay for future services and your Ontop Balance will be instantly credited, letting you process payroll even on weekends and holidays.
- Faster Onboarding: Streamlined hiring with one flexible contract type and faster processing.
- New Integrations: Connect with third-party tools such as QuickBooks and BambooHR.
4. What is the difference between You Sign and Contractor Pro?
- You Sign: Ontop only serves as the contractor's payment agent, merely ensuring contractors are paid into their Ontop Wallet for services rendered. We do not get involved in the relationship between clients and contractors, leaving you to manage your agreements entirely on your own with You Sign.
- Contractor Pro: Will replace You Sign agreements with our innovative tri-party Contractor Pro Agreement, which simplifies compliance by bringing all legal obligations into one easy-to-manage contract signed by Ontop, the client, and the contractor. This reduces risk and enhances enforceability, with Ontop playing an active role in ensuring better oversight, coordination, and communication.

5. What changes are occurring in my legal relationship between Ontop and my contractor(s)?
Under Contractor Pro, Ontop facilitates the assignment of a contractor to you using the following legal documents:
- Contractor Pro Agreement: This key document streamlines relationships and responsibilities, replacing the old independent contractor and platform agreements. It’s signed by Ontop, you, and the Contractor. Click here to view a template of the Contactor Pro Agreement.
- Contractor Pro Statement of Work (SoW): Attached to the Contractor Pro Agreement are details of services, compensation, and terms, allowing you to clearly define the contractor’s scope of work. Click here to view a template of the SoW.

6. Will this change affect my flexibility and decision-making power over contracts?
Not at all! You’ll simply have to use the Contractor Pro Agreement and Statement of Work (SoW) template instead of your own. You’ll still have full control over the contractor relationship, contractor fees, service descriptions, terminations, and the notice period for termination.
7. Can I add custom clauses or terms to Ontop's agreement templates?
Currently, this feature isn't available.
8. What are the roles and responsibilities in the new agreement?
Roles and responsibilities will continue as per your experience today with one key exception: Ontop will take care of contracting and assigning the contractor to you, making your experience smoother and more straightforward.
Other roles and responsibilities include:

Client:
- By contracting Contractor Pro, you will terminate your You Sign contracts (we will facilitate this process on your behalf – see section “Contractor Pro Upgrade Process” below)
- Pay Ontop for our use of Ontop's platform and for managing the contractor services.
- Comply with applicable laws
- Avoid any actions that could lead to legal action by the contractor.
- Complete the information in the SoWs

9. In case of contract breach or non-payment, who is responsible?
Responsibility depends on the party and the reason for the breach or non-payment:
- Client: Make timely payments to Ontop and avoid actions that could lead to legal issues.
- Ontop: Contract the contractors, provide platform access to clients and contractors, and ensure timely payments to contractors.
- Contractor: Responsible for delivering agreed-upon services.
10. Who is responsible for misclassification?
You retain responsibility for misclassification as you’re the one overseeing the direction and operations of the contractors.
11. What is the benefit of the liability coverage?
The Contractor Pro Agreement includes liability caps, providing added financial protection by limiting exposure to claims related to the services provided under the agreement. Ontop's liability to Clients under Contractor Pro and any other agreement together is capped at USD 30,000 or the total service compensation in 12 months, whichever is less. Ontop and Client’s liability to the contractor is limited to 3 months' service compensation or USD 10,000, whichever is less.
12. Who is responsible for issuing a certificate for services rendered?
Ontop takes responsibility for issuing the certificate, which can include all three parties. It confirms that the contractor is hired by Ontop, with the you benefiting from the services provided.
13. Can I terminate the contractor at my discretion?
Yes, just like your current experience, you can terminate the contractor and the Contractor Pro Agreement at any time through the Ontop Platform. Additionally, you can optionally select the number of days' notice to inform the contractor about the termination.
14. Can I change the contractor's fees or role?
Yes, just like your current experience, changes can be made through the Ontop Platform, with Ontop’s and the contractor’s signature required for amendments.
Additionally, you can edit the compensation amounts and dates in the payment process, and generate more payment items according to your business needs.
15. Who owns the intellectual property?
Rest assured, at Ontop, we respect your intellectual property rights completely — it remains under your full ownership and control. However, if you feel more comfortable, you can also enter into a separate agreement with the contractor regarding confidentiality or intellectual property without prejudice.
🚀 Contractor Pro Upgrade Process
16. How will the upgrade to Contractor Pro work?
On the specified date in your Contractor Pro upgrade notification email, you will see a pop-up when you log into Ontop. Here’s what to do:
- Review the Contractor Pro Agreement and SoW on the platform, which will apply to all your existing contracts with independent contractors.
- Once reviewed, an authorized person must accept by signing electronically and clicking "Confirm."
- Your independent contractors will then receive an email to review and accept their new agreement on the Ontop Platform.
- You'll receive a confirmation email when your contractor(s) have accepted the updated terms and completed the process. You can access contract versions at any time on our platform, just like your experience today.
We've streamlined the process to minimize any extra effort on your part.
17. What will happen to my existing You Sign contracts?
Your You Sign contracts will smoothly transition and terminate seamlessly (as per the steps outlined in Question 16 above). The Contractor Pro Agreement will govern your established relationship with the contractor moving forward, now with Ontop included.
18. How will the Statement of Work (SoW) be managed during the migration?
The information in your current SoWs will be seamlessly migrated to our Contractor Pro SoW templates, ensuring continuity, compliance, and no additional work from your end other than signing.
19. Can I transfer my contractor's seniority to the new agreement?
Once contractors sign the new agreement, their effective start date in the Ontop Platform will be the date of signature of the Contractor Pro Agreement. You may issue a document confirming the duration of the contractor's service at your discretion.
20. Is it possible to decline the Contractor Pro upgrade?
Upgrading to Contractor Pro is essential for optimizing your experience. Our team is ready to support you with any questions or assistance you may need throughout the process. Please contact our support team or your dedicated Account Manager if you have one.

21. What actions are required from my contractor during this upgrade?
As per Question 16 above (How will the upgrade to Contractor Pro work?), once you accept the new agreement and sign on the platform, contractors will receive an email to review and accept their new contract on the Ontop Platform. That’s it!

24. How will my experience change after upgrading to Contractor Pro?
You'll be able to enjoy the enhanced benefits mentioned in the General Information section above. Your daily operations on the Ontop Platform will remain unchanged. Moving forward, new contracts created will exclusively offer the Contractor Pro option.
